Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Mise ("Mise," "we," "us," or "our") governing your access to and use of the Mise platform, including the mobile application, admin portal (mise-admin.pages.dev), and guest survey interface (mise-survey.pages.dev) (collectively, the "Platform").

By creating an account, accessing the Platform, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

If you are using Mise on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

Platform Description

Mise is a technology-enabled hospitality marketplace that provides:

  • Shift Marketplace: A platform enabling independent hospitality workers to discover, apply for, and fill available shifts posted by restaurant and hospitality venues.
  • Guest Feedback System: QR code-based survey tools that allow restaurant guests to submit ratings and feedback about their service experience.
  • Payment Infrastructure: Tools for venues to manage shift-based labor costs and for workers to receive earnings, wages, and tips via automated weekly payouts.
  • Analytics: AI-powered sentiment analysis and reporting dashboards for venue operators to understand and act on guest feedback.
  • QuickBooks Integration: Automated timekeeping sync via isolated TT_-prefixed employee records in the venue's QuickBooks account, enabling earnings calculations without accessing the venue's regular employee or payroll data.

Mise is a technology platform only. We are not an employment agency, staffing firm, or party to any employment relationship between venues and workers.

User Types & Roles

The Platform serves several distinct user types, each with defined permissions:

Worker (Server/Staff)

Independent contractors who browse and apply to open shifts across participating venues. Access via mobile app.

Owner

Highest-privilege venue account. Full access to organization settings, billing, user management, and all data.

Admin

Org-level management access including shift posting, worker approvals, and analytics. Cannot modify billing.

Manager / Viewer

Location-scoped operational roles. Managers can manage shifts; Viewers have read-only access.

Access to the Platform is by invitation only. You may not create accounts without a valid invitation from an existing Platform participant or from Mise directly.

Accounts & Eligibility

To use Mise, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts in your jurisdiction;
  • Provide accurate, current, and complete information during account registration;
  • Maintain and promptly update your account information as needed; and
  • Comply with all applicable laws, including employment, tax, and labor laws relevant to your role on the Platform.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@rebootmedia.us if you suspect unauthorized access to your account.

Mise reserves the right to refuse registration, suspend, or terminate accounts at our discretion, including for violations of these Terms.

Independent Contractor Status

Important: Workers who use Mise to fill shifts operate as independent contractors, not employees of Mise or of the venues they work with. Nothing in these Terms or on the Platform creates an employment, agency, joint venture, or partnership relationship between Mise and any worker.

As an independent contractor worker, you acknowledge and agree that:

  • You are solely responsible for all federal, state, and local income taxes, self-employment taxes, and any other taxes arising from your earnings on the Platform;
  • You will not receive employee benefits from Mise or from venues, including but not limited to health insurance, workers' compensation, unemployment insurance, or paid leave;
  • You are free to work for other platforms, companies, or clients, including competitors of Mise;
  • You are responsible for providing your own tools, equipment, and transportation unless otherwise agreed with a specific venue;
  • Your relationship with each venue for each shift is governed by the terms agreed at application and acceptance; and
  • Mise does not direct or control the manner in which you perform services at any venue.

Venues are solely responsible for ensuring their shift postings and working conditions comply with applicable labor, safety, and employment laws.

Shift Marketplace

For Workers: You may browse and apply to shifts posted by participating venues. Submission of an application does not guarantee acceptance. Venues retain the right to accept or decline applications in their sole discretion.

Upon acceptance of a shift, you commit to fulfill the engagement as described. Repeated no-shows or last-minute cancellations may result in account suspension or removal from the Platform.

For Venue Operators: By posting a shift, you agree that:

  • The shift details (location, hours, role, compensation) are accurate and complete;
  • You have sufficient funds in your Mise venue balance to cover posted shift compensation;
  • You will not discriminate in shift acceptance based on any protected characteristic under applicable law; and
  • You are responsible for on-site supervision, training, and ensuring a safe working environment for any worker you accept.

Mise does not guarantee that any shift will be filled or that any application will be accepted.

Payments & Payouts

Venue deposits: Venue operators must maintain a sufficient balance in their Mise account before posting shifts. Deposits are made via Stripe and held in the Platform's payment infrastructure.

Worker earnings: Following shift completion and verification, worker earnings (wages and applicable tips) are calculated based on POS data or manually entered records. Mise processes weekly payouts to workers every Friday via Stripe Connect to the worker's linked bank account.

Platform fees: Mise charges venues a monthly platform retainer and transaction fees as specified in your venue agreement. These fees are deducted from the venue balance or billed separately.

Instant withdrawals: Instant or early withdrawal functionality, when available, will incur an additional fee disclosed at the time of the request.

Disputes: Payment disputes must be raised within 30 days of the relevant transaction. Mise will investigate in good faith but makes no guarantee of a particular outcome. For Stripe-related disputes, Stripe's own dispute resolution process may apply.

Mise is a payment intermediary only. We are not responsible for wage disputes between workers and venues that arise outside of our payment records. Workers and venues should maintain their own records.

Guest Surveys & Reviews

Mise provides QR code-based guest survey functionality on behalf of venue operators. By submitting a survey response, guests acknowledge that:

  • Their feedback will be shared with the venue operator and the specific worker they rated;
  • Feedback may be processed by AI analytics tools to generate sentiment and keyword summaries;
  • Responses should be truthful and not contain defamatory, harassing, or illegal content; and
  • Mise and venue operators may display aggregate (not individually identified) feedback in analytics dashboards.

Mise does not guarantee the accuracy of any survey data and is not responsible for business decisions made by venues based on survey results. Workers who believe survey responses are fraudulent, abusive, or defamatory may flag them to support for review.

QuickBooks Integration

Venue operators may connect their QuickBooks account to Mise to automate timekeeping and earnings workflows. By enabling this integration, you:

  • Authorize Mise to create isolated "TT_"-prefixed employee entries in your QuickBooks account (e.g., "TT_11 – Worker Name") exclusively for Mise shift workers;
  • Authorize Mise to read time-activity entries for those TT_-prefixed employees only — no other QuickBooks data is accessed;
  • Confirm that you have authority to grant this access under your agreement with Intuit;
  • Acknowledge that workers will receive clock-in credentials (TT_ code and PIN) via email to use with the QuickBooks Time app; and
  • Understand that Mise's OAuth connection uses minimal scopes: employee write and time-activity read only. Mise never accesses your payroll, invoices, banking, customers, vendors, or regular (non-TT_) employee records.

Mise is not affiliated with or endorsed by Intuit or QuickBooks. Your use of QuickBooks remains subject to Intuit's terms of service. Disconnecting the integration will stop future syncing; venue operators are responsible for managing any TT_ employee records remaining in their QuickBooks account.

Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable regulations;
  • Post false, misleading, or fraudulent shift listings, applications, or survey responses;
  • Attempt to circumvent Platform fees or payment processing;
  • Share your account credentials with others or allow unauthorized parties to access your account;
  • Reverse engineer, decompile, scrape, or otherwise attempt to extract source code or data from the Platform;
  • Interfere with the security, integrity, or availability of the Platform or its underlying infrastructure;
  • Harass, defame, or discriminate against any other Platform user;
  • Use the Platform to recruit workers or venues away from Mise to competing services during active engagement;
  • Submit automated requests, bots, or scripts to the Platform without prior written approval; or
  • Misrepresent your identity, qualifications, or affiliation with any organization.

Violation of this section may result in immediate account suspension or termination, and may expose you to civil or criminal liability.

Intellectual Property

All content, features, and functionality of the Mise Platform — including but not limited to software code, user interfaces, graphics, logos, and databases — are owned by or licensed to Mise and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes. You may not reproduce, distribute, modify, create derivative works of, or exploit any portion of the Platform without our express written permission.

User-submitted content: By submitting content to the Platform (including shift descriptions, profile information, and survey responses), you grant Mise a worldwide, royalty-free license to use, store, display, and analyze that content for purposes of operating and improving the Platform.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Mise does not warrant that:

  • The Platform will be uninterrupted, error-free, or available at all times;
  • Any shift will be filled, approved, or completed as expected;
  • Survey data will be accurate or representative;
  • POS integrations will sync in real time without delays or errors; or
  • The Platform will meet your specific business requirements.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

In no event shall Mise's total aggregate liability to you for all claims arising out of or related to these Terms or the Platform exceed the greater of: (a) the total fees paid by you to Mise in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Mise and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or violation of these Terms;
  • Any shift arrangement or working relationship facilitated through the Platform;
  • Your violation of any applicable law, including employment, tax, or labor laws;
  • Content you submit to the Platform; or
  • Any injury, property damage, or loss attributable to your actions at a venue or during a shift.

Termination

Either party may terminate the account relationship at any time. You may close your account by contacting us at hello@rebootmedia.us. Upon termination:

  • Your access to the Platform will be revoked;
  • Any pending payouts will be processed on the next standard payout cycle;
  • Venue account balances remaining after all obligations are settled will be refunded net of applicable fees within 30 days; and
  • Sections of these Terms that by their nature should survive termination (including Sections 11–14) will continue to apply.

Mise reserves the right to suspend or terminate any account immediately and without notice for violations of these Terms, fraudulent activity, or actions that may harm the Platform or other users.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally will be submitted to binding arbitration in Austin, Texas, under the rules of the American Arbitration Association (AAA). Each party bears its own costs unless the arbitrator awards otherwise.

Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized use or misappropriation of intellectual property.

Changes to Terms

Mise reserves the right to modify these Terms at any time. When we make material changes, we will provide at least 14 days' advance notice by:

  • Updating the "Last updated" date at the top of this page;
  • Sending an email notification to registered account holders; and/or
  • Displaying a banner notification within the Platform.

Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance. If you do not agree with the updated Terms, you must stop using the Platform and may close your account.
